Please read these Terms of Service ("Terms") carefully before using the MukiSolution website and services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using the services provided by MukiSolution Sp. z o.o. ("Company", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

These Terms apply to all users of the website, including without limitation users who are browsers, customers, contributors of content, or any other form of interaction with our platform.

2. Services Description

MukiSolution provides technology consulting and development services including but not limited to:

• Embedded systems development and firmware engineering
• IoT platform development and sensor network integration
• Cloud architecture design and implementation
• Artificial intelligence and machine learning solutions
• Technical consulting and training services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. User Accounts and Registration

To access certain features of our services, you may be required to register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Intellectual Property Rights

4.1 Company IP: All content, trademarks, service marks, logos, trade names, and other intellectual property displayed on this website are the property of MukiSolution or their respective owners. You may not use, copy, reproduce, modify, or distribute any content without explicit written permission.

4.2 Client IP: We respect the intellectual property rights of our clients. Unless otherwise specified in a separate written agreement:

• Custom code and solutions developed specifically for a client belong to that client upon full payment
• General frameworks, tools, and methodologies developed by MukiSolution remain our property
• Third-party components and libraries remain subject to their original licenses

5. Confidentiality

We understand the sensitive nature of technology projects. We commit to:

• Treat all client information as confidential unless classified as public
• Not disclose confidential information to third parties without explicit consent
• Use confidential information solely for the purpose of delivering services
• Execute separate Non-Disclosure Agreements (NDAs) when requested

This obligation survives the termination of our service relationship.

6. Payment Terms and Billing

6.1 Pricing: Service pricing is determined on a project-by-project basis and will be outlined in separate service agreements or statements of work.

6.2 Payment Schedule: Unless otherwise agreed, payments are typically structured as:

• 30% deposit upon project initiation
• Progress payments based on milestone completion
• Final payment upon project delivery and acceptance

6.3 Late Payments: Invoices are due within 14 days of issuance. Late payments may incur interest charges of 1.5% per month and may result in suspension of services.

7. Warranties and Disclaimers

7.1 Service Warranty: We warrant that services will be performed in a professional and workmanlike manner, consistent with industry standards. Software deliverables will substantially conform to specifications outlined in the project documentation.

7.2 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUKISOLUTION SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damages exceeding the fees paid for the specific service giving rise to the claim

These limitations apply even if we have been advised of the possibility of such damages.

9. Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the integrity or performance of our services
• Collect or store personal data about other users without permission

10. Termination

10.1 By Client: You may terminate services for convenience with 30 days' written notice. You will be responsible for payment of all services rendered up to the termination date.

10.2 By Company: We may terminate services immediately if you breach these Terms or fail to make timely payments.

10.3 Effect of Termination: Upon termination, you must pay all outstanding amounts owed, and we will provide you with work product completed up to the termination date.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. We will notify users of material changes via email or website notice.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Poland, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Warsaw, Poland.

13. Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiations. If negotiations fail, disputes shall be resolved through mediation before proceeding to litigation.

14. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
